Terms of Service

Terms governing use of the TrustBridge website and protected payment Services, including roles of TrustBridge Technologies Inc. and Braynic Technologies Limited.

These Terms of Service ("Terms") govern your access to and use of the public TrustBridge website at trustbridgeplatform.com (the "Site") and TrustBridge products and services for identity verification, protected payments / escrow style transactions, and related features (the "Services"), when made available to you. These Terms describe our current operating model and governance posture. They do not claim that TrustBridge Technologies Inc. or Braynic Technologies Limited holds any Central Bank of Nigeria payment service licence, banking licence, or other regulatory authorisation that those entities do not hold. By accessing the Site or using the Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

Who we are

TrustBridge is trust infrastructure for social and informal commerce: verification, protected payments, and dispute review for deals that often start on channels such as WhatsApp, Instagram, and similar platforms.

In these Terms, "TrustBridge," "we," "us," and "our" means the relevant entity providing the Site or Services in context (including Braynic Technologies Limited for Nigerian operations where applicable).

Important nature of the Services

Not a bank or licensed payment institution (on its own). TrustBridge provides technology and trust controls. We are not a deposit taking bank. We do not claim to hold a Central Bank of Nigeria payment service licence in our own name. Where payments are collected, held pending release conditions, or paid out to sellers, those money movements are processed through licensed payment partners.

We do not hold customer funds on our own books. Funds for protected transactions sit with the licensed payment partner according to that partner’s rails and TrustBridge’s transaction rules, not as deposits in a TrustBridge bank account operated as a payment institution.

Trust infrastructure, not a marketplace. TrustBridge does not generally replace the chat channel where parties already negotiate. We add verification, protected payment links, and dispute review around deals users bring to the platform.

Availability. Some Services may be in development, private pilot, or limited release. Features described on the Site may change before or after public launch. Live payment features apply only when enabled for your account and region.

Accounts and roles

One account. You may have one TrustBridge account. Buyer and seller are roles on a specific transaction, not permanent account types chosen at signup.

Buyers. To join or fund a protected transaction as a buyer, you must complete basic verification (such as phone OTP, name, and acceptance of terms), as required in the product.

Sellers. To create a protected transaction ("Create Escrow" or equivalent), you must complete a Trust Passport (identity and related verification steps). Incomplete Trust Passport status means you cannot create protected transactions.

Accuracy. You must provide accurate information and keep it updated. You are responsible for activity under your account credentials.

Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use payment related Services, and capable of forming a binding contract. Site browsing alone may be permitted from age 16 where lawful.

Protected payments / escrow style transactions

Typical flow when Services are live:

Platform controls. Transaction status (funded, released, refunded, etc.) is determined by TrustBridge systems and verified partner events, not by chat screenshots or unilateral user claims alone.

Your deal. You remain responsible for the underlying bargain between buyer and seller (description, quality, delivery, legality). TrustBridge provides protection tooling and process; it is not a party to every commercial deal except as these Terms and in product terms state.

  • A seller with a complete Trust Passport creates a protected transaction and receives a secure link
  • The buyer opens the link (including on mobile web), reviews details and seller trust information, and funds according to platform instructions
  • Payment is processed via our payment partner
  • The seller delivers goods or services per the deal terms
  • The buyer confirms satisfaction, or a dispute is opened within the allowed window
  • Funds are released to the seller, refunded, or otherwise handled under our Refund & Dispute Resolution Policy and partner rules

Fees

Fees (if any) for using the Services will be shown in the product or in a separate fee schedule before you confirm a chargeable action. Partner payment fees may also apply according to the payment method.

Acceptable use

You must comply with our Acceptable Use Policy at https://www.trustbridgeplatform.com/acceptable-use-policy. You may not use TrustBridge for illegal activity, fraud, money laundering, or to evade verification or payment controls.

Privacy

Personal data is handled as described in our Privacy Policy at https://www.trustbridgeplatform.com/privacy-policy, including processing by Braynic Technologies Limited and service providers (identity, payments, SMS, hosting) where applicable.

Intellectual property

The Site, Services, branding, and content are owned by TrustBridge or its licensors and are protected by applicable intellectual property laws. You receive a limited right to use the Services as offered, not ownership of our software or marks. You may view and use the Site for personal, non commercial informational purposes. Other use requires our prior written consent.

Third party services

Payments, identity verification, messaging, and hosting may be provided by third parties (for example payment institutions and identity providers). Their terms may also apply. We are not responsible for third party services except as required by law or our contract with you.

The Site may link to third party websites or services. We are not responsible for their content, policies, or practices. Your use of third party services is at your own risk and subject to their terms.

Information only, no offer

Content on the Site is provided for general informational purposes. It does not constitute legal, financial, investment, or professional advice. Nothing on the Site is an offer to sell securities or a solicitation to buy securities.

Product descriptions, screenshots, and flows may reflect future capabilities, pilot, or in development features and may change.

Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON INFRINGEMENT, CONTINUOUS AVAILABILITY, OR ERROR FREE OPERATION.

TRUSTBRIDGE DOES NOT GUARANTEE THE CONDUCT OF ANY BUYER OR SELLER. PROTECTED PAYMENT FEATURES REDUCE CERTAIN RISKS; THEY DO NOT ELIMINATE ALL RISK OF FRAUD, NON DELIVERY, OR DISPUTE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRUSTBRIDGE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE OR SERVICES.

WHERE LIABILITY CANNOT BE EXCLUDED, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SITE OR SERVICES IS LIMITED TO THE GREATER OF: (A) FEES YOU PAID TO TRUSTBRIDGE FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100), OR THE MINIMUM REQUIRED BY APPLICABLE LAW.

Indemnity

You agree to indemnify and hold TrustBridge harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Site or Services, your underlying deal with another user, or your breach of these Terms, except to the extent caused by our wilful misconduct or as prohibited by law.

Suspension and termination

We may suspend or terminate access where we reasonably believe there is fraud, legal risk, acceptable use breach, unpaid amounts, partner instruction, or risk to users or the platform. You may stop using the Services at any time. Provisions that should survive (including liability limits, intellectual property, and indemnity) will survive.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules. Courts in Ontario, Canada have exclusive jurisdiction, except where mandatory local law (including in Nigeria) requires otherwise for consumers or for Nigerian operational matters involving Braynic Technologies Limited.

Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, additional notice. Continued use of the Site or Services after changes become effective constitutes acceptance of the updated Terms.
